These Terms and Conditions (“Agreement”) govern your access to and use of all digital products, templates, frameworks, prompts, courses, systems, and related materials (collectively, the “Materials”) offered by Nova Growth Systems LLC (“Company,” “we,” “us,” or “our”) through our Kajabi site or any related delivery platform. By purchasing, downloading, or otherwise accessing the Materials, you (“Purchaser,” “you,” or “your”) agree to be bound by the terms of this Agreement.

1. Intellectual Property and Ownership

All Materials are the exclusive property of Nova Growth Systems LLC and are protected by United States copyright, trademark, and intellectual property laws. No transfer of ownership or title to the Materials is made by virtue of this Agreement.

You are granted a limited, non-exclusive, non-transferable license to access and use the Materials solely for your own internal business purposes, subject to the restrictions set forth in this Agreement.

2. Scope of License and Permitted Use

Licenses are issued on a per Market Center or business entity basis unless otherwise stated at the time of purchase.

You may:

  • Use the Materials for the internal operations of your licensed Market Center or business.

  • Customize or adapt templates and frameworks for internal use within the licensed entity.

  • Share access with employees, staff, or agents of the licensed entity, provided such individuals use the Materials solely for internal purposes.

3. Restrictions on Use

You shall not, under any circumstances:

  • Copy, duplicate, share, distribute, or resell the Materials in any form, whether digital, printed, or otherwise, outside of the licensed entity.

  • Upload or post the Materials to public forums, shared drives, agent groups, libraries, or other repositories accessible by unlicensed third parties.

  • Incorporate any portion of the Materials into paid coaching programs, consulting services, or other offerings to third parties without the express prior written consent of Nova Growth Systems LLC.

  • Use the Materials to create derivative products intended for sale, licensing, or redistribution.

Any violation of these restrictions constitutes a material breach of this Agreement and may result in termination of your license, revocation of access, and pursuit of legal remedies.

4. Multi-Location and Multi-Entity Use

If you operate multiple Market Centers, brokerages, or business entities, you must purchase a separate license for each entity intending to use or implement the Materials. A single purchase does not authorize redistribution across multiple offices or affiliated companies.

5. Payment and Refund Policy

All payments are processed securely at the time of purchase.

Because the Materials are digital and immediately accessible, all sales are final and non-refundable.
No exceptions will be made, including but not limited to lack of use, change of preference, or perceived lack of results.

If you experience technical issues accessing the Materials, the Company will provide reasonable support to restore access.

6. No Guarantees or Warranties

The Materials are provided “as is” without warranties of any kind, either express or implied. Nova Growth Systems LLC makes no guarantees regarding specific business outcomes, profitability, staffing results, or agent retention as a result of implementing the Materials. All business decisions made using the Materials are at the sole discretion and risk of the Purchaser.

7. Modifications and Termination

Nova Growth Systems LLC reserves the right to update, revise, or modify these Terms and Conditions at any time without prior notice. Continued use of the Materials following such modifications constitutes acceptance of the revised terms.

We further reserve the right to terminate your access to the Materials, revoke your license, or pursue legal remedies in the event of any breach of this Agreement.

8. Limitation of Liability

To the fullest extent permitted by law, Nova Growth Systems LLC shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to the use of the Materials, even if advised of the possibility of such damages. Our total liability, whether in contract, tort, or otherwise, shall not exceed the amount paid by you for the Materials giving rise to the claim.

9. Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any dispute arising under or related to this Agreement shall be subject to the exclusive jurisdiction of the state or federal courts located in Utah County, Utah.
